Terms and Conditions

1.1 These Terms and Conditions ("Terms") govern access to and use of the PlayLokal platform, website, mobile application, related software, tools, payment functionality, messaging functionality, data, content, and services (collectively, the "Platform").

1.2 The Platform is made available under the brand name PlayLokal and is owned, operated, licensed, made available, or administered by or on behalf of Henyo Pty Ltd and/or PlayLokal Inc, as applicable to the relevant market, activity, service flow, or contracting entity (together, "PlayLokal", "we", "us", or "our").

1.3 By accessing, registering for, browsing, creating an account on, or otherwise using the Platform, you:

• acknowledge that you have read and understood these Terms;
• agree to be bound by these Terms and any policies incorporated by reference, including our Privacy Policy;
• represent and warrant that you have the legal capacity to enter into these Terms; and
• agree to comply with all applicable laws, regulations, league rules, and community standards applicable to your use of the Platform.

1.4 If you do not agree to these Terms, you must not access or use the Platform.

1.5 If you are using the Platform on behalf of a league, organizer, team, facility, company, association, school, or other entity, you represent and warrant that you are authorized to bind that entity, and references to "you" include both you personally and that entity.

In these Terms, unless the context otherwise requires:

2.1 "Account" means a registered account used to access or use the Platform.

2.2 "Applicable Law" means all laws, regulations, codes, rules, orders, and regulatory guidance applicable to the Platform, a user, an organizer, a facility, an event, a payment flow, or any related activity.

2.3 "Content" means any information, text, data, graphics, photographs, videos, images, posts, chat messages, comments, team logos, league information, player information, statistics, scores, schedules, and other material uploaded, submitted, communicated, displayed, stored, generated, or made available through the Platform.

2.4 "Event" means any match, game, season, registration process, league, tournament, training session, competition, or recreational sports activity listed, organized, facilitated, managed, or promoted through the Platform.

2.5 "Fees" means any registration fees, player fees, team fees, transaction fees, service fees, subscription fees, premium feature fees, add-on fees, or other charges payable in connection with the Platform or any Event.

2.6 "League" means any sports league, season, tournament, competition, association, or organized sports community using the Platform.

2.7 "Organizer" means any league owner, administrator, organizer, commissioner, captain, team manager, facility-linked operator, or other person or entity that creates, operates, manages, supervises, or administers a League, Event, team, registration, or related activity through the Platform.

3.1 The Platform is intended for use by:

• league owners;
• organizers;
• team captains and team managers;
• players;
• facilities; and
• parents or guardians acting on behalf of minors.

3.2 You must be at least the age of legal majority in your jurisdiction to create and operate an Account in your own name, unless the Account is created, managed, and supervised by a parent or legal guardian in accordance with these Terms.

3.3 Minors may only participate in or be represented on the Platform where legally permitted and where a parent or legal guardian has created, authorized, or assumed responsibility for the minor's profile, participation, communications, and related activities.

4.1 To use certain Platform Services, you must create an Account and provide accurate, complete, and current information.

4.2 Account registration may be available through email, password, social login, Google login, Facebook login, and other identity or authentication methods that we may permit from time to time.

4.3 You must:

• provide true, complete, and up-to-date information;
• keep your Account credentials secure;
• maintain the confidentiality of usernames, passwords, and authentication methods;
• promptly notify us of any unauthorized use of your Account or security incident; and
• be responsible for all activities conducted through your Account.

6.1 PlayLokal provides a technology platform that may enable Users to:

• create and manage leagues, teams, seasons, and Events;
• register players and teams;
• facilitate or process certain payments;
• schedule matches and related activities;
• display or track player statistics, team results, rankings, badges, and related performance data;
• conduct player drafting and team assignment processes;
• communicate through platform messaging, alerts, notifications, or other communications tools;
• enable live scoring or related match operations; and
• access data insights, analytics, and community insights.

6.3 Unless expressly stated otherwise in writing, PlayLokal acts solely as a neutral technology provider and connecting platform. PlayLokal does not operate, host, supervise, officiate, endorse, guarantee, insure, or control any League, Event, team, player, facility, or Organizer.

8.1 You must use the Platform lawfully, honestly, responsibly, and in accordance with these Terms.

8.3 You must not, and must not permit any other person to:

• use the Platform for unlawful, fraudulent, misleading, abusive, or harmful purposes;
• harass, threaten, stalk, bully, discriminate against, or abuse another User;
• upload offensive, defamatory, obscene, hateful, discriminatory, violent, or unlawful Content;
• engage in cheating, match manipulation, score manipulation, fake registrations, or payment abuse;
• impersonate another person or misrepresent affiliation, identity, or authority;
• interfere with the operation, security, or integrity of the Platform.

15.1 The Platform, including all software, source or object code, interfaces, databases, layouts, workflows, designs, graphics, branding, trade marks, logos, domain names, business names, reports, compilations, text, audiovisual materials, and other Platform materials, is owned by or licensed to PlayLokal and is protected by intellectual property laws.

15.2 Nothing in these Terms transfers any intellectual property rights to you except for the limited, revocable, non-exclusive, non-transferable right to access and use the Platform in accordance with these Terms.

15.3 You must not use, reproduce, adapt, modify, distribute, publish, reverse engineer, or exploit any part of the Platform or PlayLokal branding except as expressly permitted in writing.

16.1 Our Privacy Policy explains how we collect, use, store, disclose, and protect personal information and other data. The Privacy Policy is incorporated into these Terms by reference.

16.2 By using the Platform, you acknowledge that PlayLokal may collect and process personal information and related data, including names and contact details, account credentials, registration and profile information, player statistics, payment-related information, and support records.

18.1 The Platform and all Platform Services are provided on an "as is" and "as available" basis.

18.2 To the maximum extent permitted by law, PlayLokal disclaims all representations, warranties, guarantees, and conditions, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, reliability, or uninterrupted access.

19.1 To the maximum extent permitted by law, PlayLokal and its related bodies corporate, officers, directors, employees, contractors, agents, licensors, and service providers exclude all liability for any indirect, incidental, consequential, special, exemplary, punitive, or economic loss.

19.5 Nothing in these Terms limits or excludes liability for fraud, wilful misconduct, or any liability that cannot be excluded under Applicable Law.

21.1 Before commencing formal proceedings, a party must first give written notice of the dispute to the other party, setting out the nature of the dispute and the relief sought.

21.5 For disputes primarily relating to Australian Users, Australian operations, Australian contracting flows, or services provided by or through Henyo Pty Ltd, these Terms are governed by the laws of New South Wales, Australia.

21.6 For disputes primarily relating to Philippine Users, Philippine operations, Philippine payment flows, or services provided by or through PlayLokal Inc, these Terms are governed by the laws of the Philippines, and the parties submit to the competent courts of Las Pinas City.

22.1 We may update, amend, modify, replace, or restate these Terms at any time.

22.2 Updated Terms will take effect when posted on the Platform or otherwise notified to you, unless a later effective date is specified.

22.3 Your continued use of the Platform after updated Terms take effect constitutes acceptance of the updated Terms.
